概念
國際商法（International Business Law）是調整國際商事關係的法律規範的總稱。由於國際商法調整的國際商事關係既包括國際商事交易關係，又包括國際商事組織關係，所以它通常又被認為是調整國際商事交易和國際商事組織的法律規範的總和。國際商法作為一門法律學科，具有“法”的共性，它是一個以權利和義務為內容的行為規範體系；而國際商法的“國際性”（International），是指它所調整的對象是具有國際因素的商事關係，也就是說，在國際商事法律關係的主體、客體和內容三個要素中，至少有一個方面是跨越國界的。按照通說，當商事關係存在下列情形時，即被認為是具有國際因素：（1）當事人的營業地分處於不同的國家；（2）當事人具有不同國家的國籍；（3）商事活動發生在當事人一方或幾方所在國以外的國家或地區；（4）商事關係的對象位於當事人一方或幾方所在國以外的國家或地區。關於國際商事法律中的“商事”一詞，有關國際組織或國家大多採取廣義的解釋。例如，《聯合國國際商事仲裁示範法》（UNCITRAL Model Law on International Commercial Arbitration）對“商事”一詞給出的註解是：“對‘商事’一詞應作廣義解釋，使其包括不論是契約性或非契約性的一切商事性質的關係所引起的種種事情。商事性質的關係包括但不限於下列交易：供應或交換貨物或服務的任何貿易交易；銷售協定，商事代表或代理；保付代理；租賃；建造工廠；諮詢；工程；許可證；投資；融資；銀行；保險；開採協定或特許權；合營企業或其它形成的工業或商業合作；貨物或旅客的航空、海上、鐵路或公路運輸。” 在我國，關於“商事”一詞同樣也作比較廣義的解釋。根據我國加入1958年在紐約通過的《承認及執行外國仲裁裁決公約》（Convention on the Recognition and Enforcement of Foreign arbitral Awards，the “New York” Convention）時所作的商事保留聲明，所謂“商事”，包括貨物買賣、財產租賃、工程承包、加工承攬、技術轉讓、合資經營、合作經營、勘探開發自然資源、保險、信貸、勞務、代理、諮詢服務和海上、民用航空、鐵路、公路的客貨運輸以及產品責任、環境污染、海上事故和所有權爭議等。
